Terms of Service
These Terms of Service ("Terms") govern your access to and use of OpHalo Keep and the websites, applications, and services provided by OpHalo LLC ("OpHalo," "we," "us," or "our"). By creating an account, accessing, or using OpHalo Keep, you agree to these Terms. If you do not agree, do not use OpHalo Keep.
OpHalo Keep is a lightweight request-continuity workspace that helps service businesses keep customer requests visible, current, and moving.
Who May Use OpHalo Keep
You may use OpHalo Keep only if you are at least 18 years old and able to form a binding contract. If you use OpHalo Keep on behalf of a business, you represent that you are authorized to accept these Terms for that business, and "you" refers to both you and that business. You agree to provide accurate information and to keep it current.
Accounts and Access
You are responsible for activity that occurs under your account and for keeping your access secure, including any secure links, magic links, and sessions used to sign in. Do not share access with people who are not authorized to use the account. Notify us promptly if you believe your account or access has been compromised.
Acceptable Use
You agree not to:
- use OpHalo Keep for any unlawful, fraudulent, harmful, or abusive purpose;
- send unsolicited messages, spam, or communications you are not authorized or permitted to send;
- upload or transmit content you do not have the right to use, or that infringes the rights of others;
- harass, threaten, or harm others, or impersonate any person or entity;
- attempt to access accounts, data, or systems you are not authorized to access;
- interfere with, disrupt, overload, or attempt to gain unauthorized access to the service or its infrastructure;
- reverse engineer, decompile, scrape, or copy the service except as permitted by law;
- use the service to build or train a competing product or service.
Your Customers and Request Information
You are responsible for the information you enter into OpHalo Keep, including customer names, contact details, request details, notes, and messages, and for how you use that information. You represent that you have the necessary rights, permissions, and consents to collect this information, to enter it into OpHalo Keep, and to contact your customers about their requests, in compliance with applicable laws.
OpHalo Keep allows some request pages to be accessed through secure links without an account. Anyone with a valid request link may be able to view or interact with that page, so you should avoid sharing request links with unauthorized people. As between you and OpHalo, you are responsible for your customer communications and for your use of customer information outside OpHalo Keep.
Communications and Notifications
By using OpHalo Keep, you agree to receive service-related emails, secure links, updates, and notifications that are necessary to operate the service and your account. These are not promotional messages and are part of using OpHalo Keep.
Pilot and Early Access
OpHalo Keep is currently offered as part of a pilot and early-access program. During this period, features may be added, changed, limited, or removed, and the service may be offered at no charge or on terms described to you at sign-up. Pilot features may be incomplete and are provided on an "as is" and "as available" basis.
Fees
If we introduce paid plans or charges, we will describe the applicable pricing and terms before they apply to you. Unless stated otherwise at sign-up, your current use of OpHalo Keep during the pilot is provided without a fee.
Intellectual Property
OpHalo and its licensors own all rights, title, and interest in and to OpHalo Keep, including the software, design, content we provide, and the OpHalo and Keep names and marks. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use OpHalo Keep for your internal business purposes. No other rights are granted.
Your Content
You retain your rights to the information and content you submit to OpHalo Keep. You grant OpHalo a worldwide, non-exclusive license to host, store, process, transmit, and display that content as needed to provide, secure, and improve the service and to perform our obligations under these Terms.
Feedback
If you send us ideas, suggestions, or feedback about OpHalo Keep, you grant us the right to use them without restriction or obligation to you.
Third-Party Services
OpHalo Keep may rely on or link to third-party services. We are not responsible for those services, and your use of them may be subject to their own terms and policies.
Service Availability and Changes
We aim to keep OpHalo Keep available and reliable, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue all or part of the service at any time, and we will make reasonable efforts to provide notice of significant changes where appropriate.
Disclaimers
OpHalo Keep is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. OpHalo Keep is intended for ordinary service-business communication and is not designed for emergency services, medical care, legal advice, financial advice, or other regulated professional services unless separately agreed in writing.
Limitation of Liability
To the fullest extent permitted by law, OpHalo and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or related to your use of (or inability to use) OpHalo Keep. To the fullest extent permitted by law, our total liability for any claim arising out of or related to these Terms or the service will not exceed the greater of the amounts you paid to OpHalo for the service in the three months before the claim, or one hundred U.S. dollars ($100).
Indemnification
You agree to indemnify and hold harmless OpHalo and its owners, employees, and suppliers from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of OpHalo Keep, your content, your communications with your customers, or your violation of these Terms or applicable law.
Termination
You may stop using OpHalo Keep at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the service. Upon termination, your right to use OpHalo Keep ends. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.
Governing Law
These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Tennessee for any dispute arising out of or related to these Terms or OpHalo Keep, to the extent permitted by law.
Changes to These Terms
We may update these Terms from time to time. The updated version will be posted with a new effective date. Your continued use of OpHalo Keep after an update means the revised Terms apply going forward.
